General Terms and Conditions

These General Terms and Conditions (“Terms”) apply to all offers, quotations, agreements, and services provided by Sublime Specialty, a division of SAJAMI GROUP N.V., registered in Suriname under Chamber of Commerce number 96834.

By engaging our services or using our website, you acknowledge that you have read, understood, and agreed to these Terms.

1. Definitions

In these terms:

  • “Client” refers to any individual or legal entity that commissions work from Sublime Specialty.
  • “Services” refers to all creative consult, design, marketing, and communication services offered by Sublime Specialty.
  • “Agreement” means any arrangement or contract between the Client and Sublime Specialty regarding the provision of Services.
  • “Deliverables” means all results, products, or materials created as part of our Services.
2. Scope of Application

These Terms apply to all quotations, offers, and agreements, unless otherwise agreed in writing. Deviations from these Terms are valid only if explicitly confirmed in writing by Sublime Specialty.

3. Offers, Quotations, and Conflicting Terms
  • All offers and quotations are non-binding unless expressly stated otherwise.
  • Prices quoted are valid for a limited time and may change depending on scope adjustments.
  • In the event of any conflict between these General Terms and Conditions and any offer, quotation, or signed agreement, the provisions of the signed agreement or proposal shall prevail, unless explicitly stated otherwise in writing by Sublime Specialty.
4. Formation of the Agreement

An agreement is established when the Client accepts a quotation or proposal, either in writing, by email confirmation, or through payment of the initial invoice.

5. Payments and Fees
  • A 75% advance payment is required before project commencement. The remaining 25% is due upon completion, prior to delivery of final materials.
  • All payments are non-refundable once the project has started.
  • All subscriptions are billed monthly and must be paid upfront before the start of each subscription period.
  • In case of late payment, Sublime Specialty may suspend work until full payment is received.
  • Any bank fees or currency conversion costs are the responsibility of the Client.
6. Delivery and Deadlines
  • Project timelines are estimates unless explicitly guaranteed in writing.
  • Sublime Specialty is not liable for delays caused by the Client’s late responses, incomplete materials, or external factors beyond our control.
  • Final files will be delivered only after the outstanding balance has been paid in full.
7. Revisions and Additional Work
  • Each project includes the number of revisions stated in the quotation or package.
  • Additional revisions or substantial changes to the original brief will be charged separately.
8. Intellectual Property and Ownership
  • All intellectual property rights to concepts, designs, drafts, or preliminary materials remain the property of Sublime Specialty until full payment has been received.
  • After full payment, the Client obtains usage rights to the final deliverables as agreed.
  • Sublime Specialty retains the right to showcase completed work in its portfolio, website, or promotional materials, unless otherwise agreed in writing.
9. Client Obligations

The Client must:

  • Provide complete, accurate, and timely information required for the project.
  • Ensure all provided materials (such as images, text, and logos) are legally owned or licensed for use.
  • Review and approve deliverables in a timely manner to avoid delays.

Sublime Specialty is not responsible for issues arising from incorrect or incomplete client-provided materials.

10. Confidentiality

Both parties agree to treat all confidential information received from the other party as strictly confidential and not to disclose it to third parties without prior written consent.

11. Liability
  • Sublime Specialty and SAJAMI GROUP N.V. are not liable for indirect or consequential damages, including loss of income, reputation, or data.
  • Our total liability will not exceed the total amount paid by the Client for the relevant project.
  • The Client is responsible for ensuring proper backup and safe use of delivered materials.
12. Force Majeure

Sublime Specialty shall not be held liable for delays or non-performance caused by events beyond its reasonable control, including natural disasters, internet outages, or governmental actions.

13. Termination

Either party may terminate the Agreement if the other party materially breaches its obligations.

In such cases, the Client is obligated to pay for all work completed up to the termination date.

14. Governing Law and Dispute Resolution
  • These Terms and all Agreements shall be governed by mutually agreed international law.
  • Any disputes arising out of or relating to these Terms or the Services will first be addressed through good-faith negotiation between the parties.
  • If a dispute cannot be resolved amicably within 30 days, it shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), or another mutually agreed arbitration forum.
  • The arbitration may be conducted online or in a location agreed by both parties, and the decision of the arbitrator(s) shall be final and binding.
15. Amendments

Sublime Specialty reserves the right to modify these Terms at any time. The latest version will always be published on our website, with the “Last Updated” date clearly indicated. Continued use of our services implies acceptance of any revised Terms.
